Effective date and acceptance

Effective Date: April 30, 2026. By accessing or using the services, you represent that you have authority to accept these Terms on your own behalf or on behalf of the entity you represent.

Definitions

Services means the The Business Cocoon platform and related offerings, including Pitch & Talk Readiness, Digital Presence Preparedness, Preflight Canvas, Growth Decision Lab, Go-to-Market Readiness Scan, and Cybersecurity readiness assessment.

Acceptable use

You shall not misuse the services, interfere with platform integrity or availability, attempt unauthorized access, reverse engineer restricted components, or submit content you are not authorized to use. You remain solely responsible for the legality, accuracy, and appropriateness of submitted content and downstream use of generated outputs.

Accounts, subscriptions, and billing

Fees for paid services are assessed in accordance with the applicable plan, order form, or commercial terms. Except as required by applicable law or expressly stated in writing, fees are non-refundable. You are responsible for maintaining complete and accurate account and billing information.

Intellectual property and customer content

The Business Cocoon retains all right, title, and interest in and to the services, including software, documentation, and related intellectual property. As between the parties, customers retain rights in customer-submitted content, subject to the rights required for The Business Cocoon to provide, maintain, and improve the services in accordance with applicable agreements and law.

Product outputs and limitations

The services provide workflow tooling and generated analytical outputs for planning and decision-support purposes. Outputs do not constitute legal, financial, accounting, tax, cybersecurity certification, or other regulated professional advice. You are solely responsible for independent review, final decision-making, and implementation.

Suspension and termination

The Business Cocoon may suspend or terminate access where reasonably necessary to protect service security and integrity, prevent misuse, comply with law, or enforce these Terms. Upon termination, rights to access the services cease, except to the extent otherwise required by law or contract.

Liability and governing law

To the maximum extent permitted by applicable law, The Business Cocoon disclaims liability for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the services. The Business Cocoon's aggregate liability for direct damages arising from the services is limited to the amounts paid for the affected services during the contractual look-back period set out in your governing commercial terms. These Terms are governed by applicable Canadian law, unless otherwise specified in a written agreement.

Changes to these terms

The Business Cocoon may update these Terms from time to time. The revised Terms will be posted on this page with an updated effective date and will apply as of that date, subject to applicable law.
